Terms of Service

These Terms of Service (the "Terms") govern your access to and use of SalesSpark – Popups & Banners (the "App"), operated by Keylogic Infotech PVT LTD (the "Publisher"). By installing, accessing, or continuing to use the App through Shopify or related channels, you agree to these Terms and to applicable Shopify merchant and Partner policies incorporated by reference.

Eligibility and Acceptance

You represent that you are a merchant legally able to bind your business, that Shopify account information you provide is accurate, and that you comply with Shopify's Terms of Service and Acceptable Use Policy. If you disagree with any portion of these Terms, do not install or use the App.

License and Acceptable Use

Subject to Shopify plan entitlements and your compliance, Publisher grants you a revocable, non-exclusive license to use the App to configure popups and banners aligned with Shopify themes and storefront behavior. You will not misuse the App to distribute malware, misrepresent affiliation, circumvent rate limits or security controls, scrape unrelated data, or violate consumer protection laws, spam regulation, discrimination rules, intellectual property, or Shopify requirements.

Merchant Content

You retain ownership of creatives, trademarks, promotions, coupon codes, and messages you upload or craft; you grant Publisher a worldwide license strictly to host, process, transmit, and render that content strictly for operating the App. You warrant you have sufficient rights for such use and indemnify Publisher against claims arising from merchant-provided assets or storefront experiences you orchestrate outside reasonable defaults.

Billing and Subscription

Paid tiers, billing cycles, proration, taxation, invoicing, cancellations, refunds when applicable, and free trials rely on Shopify's billing APIs and the disclosures shown when you subscribe. Renewals, plan changes, uninstallation, chargebacks, disputes, and receipts follow Shopify's mechanisms and timelines.

Data Handling

Detailed practices appear in our Privacy Policy and Data Deletion documents. By using the App, you confirm lawful authority over store data entrusted to Shopify and processed by the integration.

Service Availability

We strive for high availability yet do not promise uninterrupted uptime. Planned maintenance, infrastructure incidents, Shopify platform changes, third-party outages, CDN issues, ISP problems, emergencies, denial-of-service, or compulsory actions may degrade features temporarily. Status communication may arrive via Shopify admin banners, changelog notes, email, status pages where provided, release notes inside the merchant UI, Slack or ticketing when commercial support warrants.

Support

Standard support avenues are outlined on Contact Us. Formal SLAs, onboarding packages, escalation paths, or premium support require a separate agreement when offered.

Intellectual Property

The App (including software, workflows, dashboards, textual UI, aggregated analytics constructs, and documentation) belongs to Publisher or licensors. Feedback you voluntarily provide may be freely used without restriction to improve offerings.

Disclaimer of Warranties

To the fullest extent permitted by applicable law the App is provided "as is" and "as available"; Publisher expressly disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, quiet enjoyment, interoperability, uptime guarantees absent a paid SLA, uninterrupted error-free rendering on every theme combination, storefront script collision immunity, GDPR-by-default satisfaction absent merchant configuration diligence, uninterrupted deliverability toward every visitor locale, and unknown third-party integrations.

Limitation of Liability

Except where prohibited, Publisher aggregate liability arising from these Terms or the App during any twelve-month rolling window caps at amounts you paid for the App in that window (or if none, sixty USD). Neither party is liable for indirect, punitive, incidental, special, consequential losses including lost profits, goodwill, revenues, shopper complaints, reputational harm, outages on partner infrastructure, punitive regulatory fines stemming solely from unlawful merchant creatives, punitive damages barred by Shopify ecosystem standards, intangible damages, or data loss attributable to merchants failing backups.

Indemnification

You agree to indemnify and hold harmless Publisher, affiliates, and personnel from losses tied to your breach, unlawful campaigns, infringing assets, negligent security on admin accounts, regulatory penalties resulting from deceptive practices, phishing, spoofing Shopify brands, or tax under-collection when you omit location-based rules.

Termination

You may stop using or uninstall anytime subject to Shopify's workflows. Publisher may suspend or discontinue access, including automatic disablement hooks exposed through Shopify, for security issues, abusive traffic, programmatic policy breaches, overdue payments processed through Shopify billing APIs, Shopify enforcement, or lawful orders. Obligations logically intended to survive (privacy, disclaimers where applicable by law, dispute resolution, accrued fees, accrued IP misuse obligations) endure post-termination limited by law.

Changes to Terms

Publisher may revise these Terms; material revisions may be signaled through Shopify admin UI changelog notes, storefront announcement blocks, emailing primary store contacts associated with the install, or adjusting the dated header here. Certain continued use regimes after notice may signify consent where permissible in your jurisdiction absent mandatory separate affirmative consent.

Governing Law and Disputes

Unless mandatory consumer rules say otherwise or Shopify Partner requirements impose alternative venue rules, substantive law favorable to orderly commercial enforcement in India governs disputes; competent courts seated in Ahmedabad, Gujarat handle exclusive disputes except Shopify-mandated arbitration corridors or Shopify escalations that precede lawsuits. Arbitration or class waiver sections only apply where enforceable locally.
